In these Terms & Conditions, unless the context otherwise requires: "Company", "we", "our", or "us" refers to Stone Empire Pty Ltd (ACN 142 647 210) of Rockingham, Western Australia; "Client", "you", or "your" refers to any person or entity using our website or acquiring our goods and services; "Website" refers to stoneempirepty.site; "Goods and Services" refers to all products, materials, and services supplied by the Company including stone supply, fabrication, masonry, cladding, benchtop installation, and related works.
These Terms & Conditions apply to all use of this Website and all orders, quotations, contracts, and supply of Goods and Services by the Company. By accessing the Website or engaging our Services, you agree to be bound by these Terms. They supersede any prior agreements, representations, or understandings. No variation or modification of these Terms is binding unless agreed in writing by a director of the Company.
Our Goods and Services come with guarantees that cannot be excluded under the Competition and Consumer Act 2010 (Cth) — specifically Schedule 2, the Australian Consumer Law (ACL). Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee, right, or remedy conferred by the ACL, including the guarantees as to title, acceptable quality, fitness for a particular purpose, matching description, and reasonable care and skill.
If the ACL applies and there is a failure to meet a consumer guarantee, your remedies may include replacement, repair, refund, or compensation for a reduction in value, as determined by the ACL.
All quotations provided by the Company are valid for 14 days from the date of issue unless otherwise stated in writing. Prices are in Australian dollars (AUD) and include GST unless expressly noted. Quotations are based on the information provided by the Client at the time of quote and may be revised if site conditions, scope, or quantities change materially.
An order is placed when the Client accepts a quotation in writing (including via email). Acceptance of an order by the Company occurs when we issue a written order confirmation or invoice. The Company reserves the right to decline or cancel any order at its discretion, including where credit terms cannot be established or where stock is unavailable.
Payment terms are as specified on the invoice or quotation. Unless otherwise agreed, payment is due prior to delivery or installation for residential clients, and within 30 days of invoice for approved commercial credit accounts. The Company reserves the right to charge interest on overdue amounts at the rate prescribed by the Civil Judgments Enforcement Act 2004 (WA).
Delivery timeframes are estimates only and the Company shall not be liable for delays caused by events outside its reasonable control. Risk in the Goods passes to the Client upon delivery or installation completion. The Client is responsible for ensuring safe access for delivery vehicles and adequate site preparation for installation.
Title to all Goods supplied by the Company remains with the Company until full payment has been received. Until title passes, the Client must store the Goods separately and identifiable as the Company's property, and must not sell, transfer, or encumber them. The Company may enter the Client's premises to repossess Goods if payment is not made in accordance with these Terms.
All intellectual property rights in the Company's designs, drawings, specifications, templates, fabrication methods, website content, logos, and trade marks (whether registered or unregistered) are and remain the sole property of Stone Empire Pty Ltd. No licence or right to use any of the Company's intellectual property is granted to the Client except as strictly necessary for the Client's use of the Goods and Services supplied under a specific contract. The Client must not reproduce, modify, distribute, or commercially exploit any of the Company's intellectual property without prior written consent.
To the maximum extent permitted by law, including the Australian Consumer Law:
The Company warrants that its Goods and Services will comply with any agreed specifications and be free from defects in materials and workmanship for a period of 12 months from delivery or installation (or such other period as stated in the quotation). This warranty is in addition to any rights the Client may have under the ACL. The warranty does not apply to damage caused by misuse, improper installation (by third parties), normal wear and tear, alteration, or failure to follow maintenance guidelines provided by the Company.
The Client is responsible for: (a) providing accurate and complete information for quotations and project work; (b) ensuring the site is safe and accessible for the Company's personnel and equipment; (c) obtaining all necessary approvals, permits, or consents required for the installation of stone products; (d) inspecting delivered goods promptly and notifying the Company of any defects or discrepancies within 7 days.
Either party may terminate a contract for Goods and Services by giving 14 days written notice to the other party. The Company may terminate immediately by written notice if: (a) the Client fails to make payment when due; (b) the Client breaches any material term of these Terms and fails to remedy the breach within 7 days of notice; (c) the Client becomes insolvent, enters administration, or is otherwise unable to pay its debts as they fall due. Upon termination, the Client must pay for all Goods and Services supplied up to the date of termination and any reasonable costs incurred by the Company in relation to the terminated contract.

The Client agrees to indemnify and hold harmless the Company, its directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses arising out of or in connection with: (a) the Client's breach of these Terms; (b) the Client's use of the Website; or (c) the Client's negligence or wrongful act or omission in relation to the Company's Goods and Services.
Any personal information collected by the Company in connection with these Terms or the supply of Goods and Services will be handled in accordance with our Privacy Policy, which forms part of these Terms.
These Terms & Conditions are governed by and construed in accordance with the laws of the State of Western Australia, Australia. The parties irrevocably submit to the exclusive jurisdiction of the courts of Western Australia and any courts hearing appeals from those courts.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
These Terms, together with any quotation, invoice, or work order issued by the Company, constitute the entire agreement between the parties and supersede all prior communications, representations, and agreements, whether oral or written.
